EasyRepair Terms of Service

Welcome to EasyRepair ("EasyRepair," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our software, website, products, features, communications tools, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of a business, collision repair facility, company, or other organization, you represent that you have authority to accept these Terms on behalf of that business or organization.

1. Acceptance of Terms

By accessing or using the Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Changes to Terms

We may update or modify these Terms from time to time. Any updated Terms will be posted on our website or otherwise made available to customers. Your continued use of the Services after updated Terms are posted or provided constitutes acceptance of the revised Terms.

3. Account Registration and Security

Customers may be required to create one or more user accounts to access certain features of the Services. Customer agrees to provide accurate, current, and complete information and to keep such information updated.

Customer is responsible for maintaining the confidentiality of all account credentials and for all activity that occurs under its accounts. User credentials may not be shared between multiple individuals. Each individual user should have their own login credentials.

EasyRepair may disable or remove inactive user accounts, accounts associated with security concerns, or accounts that violate these Terms.

4. Subscription, Billing, and Payment

Unless otherwise agreed in writing, EasyRepair Services are provided on a month-to-month subscription basis.

Customer agrees to pay all fees and charges associated with its subscription, including any applicable setup fees, monthly service fees, usage-based fees, communication fees, or other agreed charges.

Invoices are generally billed monthly and sent to the Customer’s designated billing contact or business office. Payment is due according to the terms stated on the invoice or other written agreement between EasyRepair and Customer.

All payments are non-refundable. EasyRepair does not provide refunds or credits for partial months, unused Services, delayed implementation, reduced usage, or Customer’s failure to use the Services.

5. Cancellation

Customer may cancel Services by providing at least thirty (30) days’ written notice prior to the next billing cycle.

Failure to provide timely notice may result in Customer being responsible for the next billing cycle. Cancellation does not relieve Customer of any outstanding payment obligations.

6. Non-Payment and Suspension

If Customer fails to pay any invoice when due, EasyRepair may provide notice of non-payment and may suspend or terminate access to the Services if payment is not received.

EasyRepair may, at its discretion, allow a grace period before suspension. However, EasyRepair is not required to continue providing Services to accounts with unpaid balances.

Suspension or termination for non-payment does not relieve Customer of its obligation to pay outstanding amounts owed.

7. Location Licensing

Unless otherwise agreed in writing, each EasyRepair subscription is licensed for use by a single physical business location.

Businesses operating multiple locations may require separate subscriptions for each location. EasyRepair may, at its sole discretion, offer discounted pricing, bundled pricing, or custom pricing for businesses with multiple locations.

8. User Limits

Unless otherwise agreed in writing, standard EasyRepair subscriptions include up to fifteen (15) active user accounts per subscribed location.

EasyRepair reserves the right to modify user limits, require removal of inactive or unnecessary users, or require additional fees for additional users.

9. Customer Data

Customer retains ownership of all data, records, files, messages, photos, documents, vehicle information, customer information, and other content submitted to or stored within the Services by Customer or on Customer’s behalf ("Customer Data").

EasyRepair does not acquire ownership rights to Customer Data. EasyRepair stores, processes, transmits, and displays Customer Data solely as necessary to provide, maintain, support, secure, and improve the Services.

Customer is solely responsible for the accuracy, legality, quality, and use of Customer Data entered into the Services.

10. Data Storage, Retention, and Backups

Customer acknowledges that Customer Data may be stored, processed, transmitted, and backed up using third-party cloud providers, including but not limited to Amazon Web Services, Google Cloud, and other service providers used by EasyRepair.

Customer Data is not stored locally by EasyRepair at Customer’s physical location unless otherwise agreed in writing.

Upon cancellation or termination of Services, Customer will have thirty (30) days to retrieve, print, save, or otherwise remove available information from the Services. EasyRepair does not guarantee that Customer Data will be available after this thirty (30) day period.

EasyRepair may permanently delete Customer Data after the thirty (30) day post-termination period. Customer acknowledges that deleted information may remain in backups, archives, logs, or disaster recovery systems for a reasonable period before permanent deletion.

EasyRepair does not guarantee the availability of data exports unless expressly agreed in writing. Customer is responsible for saving, printing, or retaining any information it needs before Services are cancelled or terminated.

11. Messaging, Email, and Customer Communications

The Services may include tools for text messaging, email communication, review requests, appointment reminders, photo sharing, customer updates, internal communication, and other communication-related features.

Customer is solely responsible for obtaining all required permissions, authorizations, and consents from its customers before using EasyRepair to send text messages, emails, review requests, marketing messages, appointment reminders, or other communications.

Customer agrees to comply with all applicable laws, rules, and regulations related to messaging, email, marketing communications, privacy, consent, and customer communications.

Customer acknowledges that message and data rates may apply to recipients and that message delivery is dependent on third-party carriers, service providers, customer devices, network availability, and other factors outside EasyRepair’s control.

EasyRepair is not responsible for delayed, blocked, filtered, undelivered, or failed messages, emails, notifications, or communications.

12. Acceptable Use

Customer agrees to use the Services only for lawful business purposes and in accordance with these Terms.

13. Service Availability and Interruptions

EasyRepair works to provide reliable Services, but we do not guarantee uninterrupted, error-free, or continuous access.

The Services may experience outages, interruptions, delays, maintenance periods, technical issues, third-party provider failures, carrier issues, internet disruptions, cloud service interruptions, or other events beyond our control.

EasyRepair is not responsible for any loss, delay, missed communication, business interruption, lost revenue, lost opportunity, or other damages resulting from service interruptions or system unavailability.

14. Beta, Testing, and Pre-Release Features

EasyRepair may offer certain features, tools, modules, or versions of the Services as beta, testing, preview, pilot, or pre-release features.

Such features are provided "as is" and may be modified, suspended, limited, or discontinued at any time. Beta or testing features may contain errors, interruptions, incomplete functionality, or changes before final release.

Customer agrees that EasyRepair is not liable for issues arising from the use of beta, testing, preview, pilot, or pre-release features.

15. Third-Party Services

The Services may rely on, connect with, or include third-party platforms, vendors, carriers, cloud providers, payment processors, communication providers, email providers, analytics tools, or other outside services.

EasyRepair is not responsible for the availability, performance, policies, security, pricing, outages, changes, or actions of third-party services.

Customer’s use of third-party services may be subject to separate terms, fees, policies, or restrictions imposed by those third parties.

16. Intellectual Property

EasyRepair and its software, website, design, workflows, features, technology, content, branding, logos, processes, and related materials are protected by intellectual property laws.

Except for Customer Data, all rights, title, and interest in and to the Services remain the property of EasyRepair or its licensors.

Customer may not copy, modify, reverse engineer, distribute, resell, sublicense, or create derivative works based on the Services without EasyRepair’s express written consent.

17. Privacy

Customer’s use of the Services may involve the collection, storage, processing, and transmission of information relating to Customer, Customer’s employees, and Customer’s customers.

Customer agrees that EasyRepair may process such information as necessary to provide, maintain, secure, and support the Services.

Customer is responsible for ensuring that it has provided any required notices and obtained any required consents from its customers, employees, or other individuals whose information is submitted to the Services.

Customer acknowledges that information submitted through the Services may be stored, processed, and transmitted through systems located in the United States.

18. Geographic Availability

EasyRepair currently focuses on supporting collision repair businesses in the United States. Certain features or Services may not be available in all regions.

EasyRepair reserves the right to limit, restrict, or decline access to the Services based on geographic location, legal requirements, technical limitations, communication carrier limitations, tax considerations, or business considerations.

19. Termination

EasyRepair may suspend or terminate Customer’s access to the Services if Customer violates these Terms, fails to pay amounts owed, misuses the Services, creates security concerns, violates applicable laws, or engages in conduct that EasyRepair believes may harm EasyRepair, other customers, or third parties.

Customer may terminate Services by following the cancellation requirements described in these Terms or any written agreement with EasyRepair.

Upon termination, Customer’s right to access and use the Services will end. Sections of these Terms that by their nature should survive termination will continue to apply, including payment obligations, intellectual property rights, limitations of liability, disclaimers, indemnification, governing law, and data retention provisions.

20. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, EasyRepair disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and uninterrupted operation.

EasyRepair does not guarantee that the Services will meet Customer’s requirements, produce specific business results, generate reviews, increase revenue, prevent customer complaints, improve search rankings, or operate without errors or interruptions.

21. Limitation of Liability

To the fullest extent permitted by law, EasyRepair shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunities, lost customer data, lost goodwill, business interruption, missed communications, delayed messages, failed messages, or loss of use, even if EasyRepair has been advised of the possibility of such damages.

EasyRepair’s total liability for any claim arising out of or related to the Services or these Terms shall not exceed the total amount paid by Customer to EasyRepair during the three (3) months immediately preceding the event giving rise to the claim.

The limitations in this section apply regardless of the legal theory of liability, whether based on contract, tort, negligence, strict liability, warranty, statute, or otherwise.

22. Indemnification

Customer agrees to defend, indemnify, and hold harmless EasyRepair, its owners, officers, employees, contractors, vendors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

23. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

Customer agrees that any legal action or proceeding related to these Terms or the Services shall be brought exclusively in the federal or state courts located in the State of Texas, and Customer consents to the jurisdiction and venue of such courts.

24. Entire Agreement

These Terms, together with any applicable written agreement, order form, invoice, subscription agreement, or policy referenced by EasyRepair, constitute the entire agreement between Customer and EasyRepair regarding the Services.

If there is a conflict between these Terms and a separate written agreement signed by both parties, the signed written agreement will control to the extent of the conflict.
